国务院关于废止第二批涉外法规的通知(附英文)
国务院
为了加快实施沿海地区经济发展战略，促进我国沿海地区外向型经济的发展，国务院有关部门根据国务院关于清理涉外法规的部署和要求，对国务院发布或者批准发布的现行涉外方面的行政法规和法规性文件（以下简称法规）进行了清理。清理出来的第二批应予废止的法规12件，经
国务院清理涉外法规领导小组和国务院法制局逐件复查，国务院审议，决定予以废止（法规名称见附件一）。
同时清理出来的第二批自行失效的法规16件，也经国务院清理涉外法规领导小组和国务院法制局逐件复查，现一并附后（法规名称见附件二），以便各地区、各部门全面了解已失效的涉外法规的情况，利于工作。

CIRCULAR OF THE STATE COUNCIL CONCERNING THE ANNULMENT OF THE
SECOND BATCH OF REGULATIONS GOVERNING FOREIGN-RELATED MATTERS
(September 27, 1988)
In order to speed up the implementation of the strategy for economic
development in the coastal areas, and to promote the development of
export-oriented economy in the coastal areas of our country, the
departments concerned under the State Council, in accordance with the
planning and requirements of the State Council for the sorting out of
regulations governing foreign-related matters, have undertaken the sorting
out of the existing administrative regulations as well as other legal
documents (hereinafter referred to as "the regulations", for short),
promulgated by the State Council or promulgated with the approval of the
State Council. At present, the second batch of twelve regulations, which
have been sorted out and should be annulled, have been re-examined, piece
by piece, by the Leading Group under the State Council for the Sorting Out
of Regulations jointly with the Bureau of Legislative Affairs of the State
Council and by the State Council: and it is decided to announce the
annulment of the aforesaid regulations (See Annex I for the titles of the
aforesaid regulations). At the same time, the second batch of sixteen
regulations, which have become invalid automatically, have also been
sorted out and reexamined, piece by piece, by the Leading Group under the
State Council for the Sorting Out of Regulations jointly with the Bureau
of Legislative Affairs of the State Council: and now these sixteen invalid
regulations (See Annex II for their titles) are also included here as
Annex II in order to help various regions and departments concerned obtain
an overall understanding of the condition of those invalid regulations
Governing foreign-related matters, thereby facilitating their work.

内蒙古自治区第八届人民代表大会常务委员会第二十五次会议通过
第一条 为了进一步改善投资环境，加快外向型经济发展，鼓励外商来我市投资，根据国家和内蒙古自治区有关法律、法规的规定，结合本市实际，制定本条例。
第二条 鼓励外国的公司、企业和其他经济组织或者个人（以下简称外国投资者）来本市举办中外合资经营企业、中外合作经营企业和外资企业（以下简称外商投资企业）。
第三条 外商投资企业，除享受国家、内蒙古自治区有关优惠经济政策规定外，同时按照本条例给予优惠。
第四条 鼓励外商在以下产业和重点项目投资：
（一）填补我市、自治区和国内空白的；
（二）合资、合作改造我市传统产业和老企业的；
（三）国家急需的交通、能源、重要原材料、工业建设的；
（四）国内外市场需要的高新技术产业、稀土应用的；
（五）资源综合开发和利用再生资源的；
（六）市政基础设施、旧城改造和环境治理方面的；
（七）农、林、牧、渔业新技术及综合开发的；
（八）我市经济社会发展和人民生活急需的其他项目。
第五条 外商可以按照国家有关规定，以先进技术和资金投入举办稀土分离、深加工的中外合资经营企业、中外合作经营企业。
第六条 对经营期10年以上的生产性外商投资企业，从开始获利年度起，企业所得税二年内免征，第三年至第五年减半征收，第六年至经营期满按照国家规定税率缴纳，超过24％的部分，市财政部门予以返还。
对投资500万美元以上、经营期10年以上，从事服务性行业的外商投资企业，从开始获利年度起，企业所得税按照国家规定税率上缴，由市财政部门返还50％。
对投资鼓励重点项目、经营期10年以上的外商投资企业，从投产之日起，二年内由市财政返还增值税实际缴纳额的15％，第三年至第五年返还实际缴纳额的10％。
外商投资企业实际经营期不满10年的，应当补缴按本条已免征、减征和返还的税款。
第七条 外商投资企业的外国投资者，将从企业取得的利润直接再投资鼓励重点项目、经营期不少于5年的，经投资者申请，税务机关批准，退还其再投资部分已缴纳企业所得税的40％，财政部门返还60％；再投资不满5年撤出的，应当缴回按本条已退和返还的税款。
第八条 举办鼓励重点项目的外商投资企业，减半征收城市基础设施配套费。
第九条 举办鼓励重点项目的中外合资经营企业、中外合作经营企业，中方投资者的国有资产投入经评估后，报市国有资产管理部门批准可以按照不低于评估价的80％确立股权。
第十条 中外合资经营企业、中外合作经营企业，从开始获利年度起五年内，中方国有资产的股红，市国有资产管理部门或者其授权的国有资产经营公司可以借给该企业。
第十一条 外商对现有企业进行合资、合作改造的，经旗县区以上人民政府批准，允许其以出资购买、参股、控股等形式取得国有企业全部或者部分产权。
凡列入自治区技术改造规划、符合国家产业政策规定的利用外商投资改造的项目，优先安排配套资金贷款。
外商投资改造的企业按照原有渠道供应原材料，属于新增品种，与国有企业同等对待。
第十二条 外商向能源、交通等基础设施（煤炭、电力、铁路、公路等）项目投资的，允许投资者以建设－－运营－－转让（ＢＯＴ）的方式进行建设和运营；对重点交通项目、旧城改造项目，经批准可以在周侧一定范围内扩大与项目有关的土地开发和服务经营；企业可以根据经营需
要，确定价格和收费标准，报市物价部门批准。
第十三条 市人民政府设立外商投资企业专项资金。
外商投资企业专项资金由市财政部门划拨垫底资金，多方筹集，统一管理，有偿支持鼓励重点项目。
第十四条 对引荐外商投资举办中外合资经营企业、中外合作经营企业和引进资金及国外先进技术的有功人员，给予一次性奖励。具体奖励办法，由市人民政府制定。
第十五条 对携带项目、专利技术开发新产品并且取得经济效益的国外科技人员，经市外经贸部门认定，由受益企业按照年新增利润的5％－10％给予一次性奖励。
第十六条 市人民政府设立出口创汇奖励专项资金，对为出口创汇做出突出贡献的外商投资企业给予奖励。
第十七条 市人民政府有关部门办理外商投资企业手续实行会审制。
项目建议书的审批时间不超过7天；可行性研究报告的审批时间不超过14天；合同、章程的审批和颁发批准证书的时间合计不超过7天。
对违反本条规定的部门负责人和经办人员，视情节给予行政处分。
第十八条 在外商投资企业工作的外籍专家、员工及其家属，凭所在单位的工作证及有关证明，在购物、食宿、支付交通、邮电、医疗等费用方面，享受本市公民同等标准。
第十九条 鼓励外商直接经营和按照国际惯例管理企业。
外商投资企业在批准的合同、章程范围内有生产经营的自主决策权。
第二十条 除国务院和自治区规定的行政事业性收费外，任何单位和部门不得向外商投资企业收取各种费用。
违反前款规定的，外商投资企业有权拒绝缴纳，并且可以向市外经贸部门投诉。
第二十一条 香港、澳门、台湾的公司、企业和其它经济组织或者个人在我市投资举办企业，参照本条例执行。
第二十二条 市人民政府可以根据本条例制定实施细则。
第二十三条 本条例自公布之日起施行。
